After expiration of deadline: further negotiations of transaction to acquire parts of VAMED Group

The purchase agreement for the acquisition of parts of VAMED Group, concluded in May 2024 between a joint holding company of STRABAG SE and PORR AG as the buyer on the one hand and VAMED AG (a group company of Fresenius SE & Co. KGaA of Germany) as the seller on the other, has not been fulfilled by the contractually agreed date.

STRABAG SE has gained knowledge through the Implementing Regulation (EU) 2024/1842 of the Council of the European Union published today that the European Union has now sanctioned the shareholder MKAO "Rasperia Trading Limited" ("Rasperia") and its parent company Iliadis JSC ("Iliadis").

RBI cancels transaction over STRABAG shares, MKAO “Rasperia Trading Limited” remains shareholder of STRABAG SE

STRABAG SE has learnt from a recently published ad-hoc disclosure published by Raiffeisenbank International AG (RBI) that the latter has decided not to pursue the acquisition of STRABAG shares from MKAO “Rasperia Trading Limited” (Rasperia). According to the announcement, RBI was unable to obtain the “required comfort” from the relevant authorities in order to proceed with the planned transaction.
